<p>The total purchase consideration for the stock in Fry is approximately $31.3 million, plus the assumption of approximately $18.4M in debt; further, the selling Fry shareholders are eligible to earn up to an additional $17 million in earn out payments over the next 23 months, based upon meeting specified financial targets. The acquisition was effective August 9, 2008, at which time Fry became part of the MICROS-Retail group.</p>

<p>De Rubertis, a principal in Fry&#8217;s consulting services unit, worked with Grand Rapids, MI-based Meijer to develop the Mealbox tool as a way to monetize a widget that shoppers would find useful. &#8220;We brainstormed about how to produce a hard-working and monetized widget that would justify a shopper&#8217;s spending time with a retail brand,&#8221; he says.</p>
<p>About 50% of widget users redeem the coupons, resulting in a higher redemption rate than Meijer has realized through more costly methods of circulating printed coupons, de Rubertis says. Several thousand Meijer customers have begun using the Meijer Mealbox widget since it was launched earlier this spring, spending on average from 20 minutes to an hour using the tool to browse recipes and products and build shopping lists. As a user creates a shopping list, any available coupons are automatically attached to the list with bar codes that can be printed out and redeemed in a store.</p>
<p>Shoppers have several options in where to access the widget, which can be copied from Meijer.com or MLive.com for placement on a personalized iGoogle page, a personalized page on Facebook.com, or a shopper&#8217;s own blog. MLive.com is a general content site providing news and advertising in affiliation with several Michigan newspapers.</p>
<p>In addition to building shopping lists with coupons, the Mealbox widget includes features for e-mailing content to friends or forwarding to social networking and sites such as Del.icio.us, Twitter.com and StumbleUpon.com. The social networking connection is designed to get maximum exposure for both Meijer and its coupon partners, de Rubertis says.</p>
<p>Although Meijer only provides coupons through the widget for in-store coupon redemption, the widget can also support online coupon redemption, de Rubertis says. (Meijer sells several categories of consumer products online, but sells groceries only through its stores.)</p>
<p>The cost to develop the widget runs about $30,000 to $50,000, plus ongoing fees that can take any of multiple forms such as cost-per-thousand coupons, customer cost-per-acquisition or a revenue-sharing model, de Rubertis says.</p>
<p>In addition to its e-commerce site at Meijer.com, Meijer operates 182 &#8220;supercenters&#8221; selling both groceries and several categories of consumer products throughout Michigan, Indiana, Illinois, Ohio and Kentucky.</p>

<p>Today, each of Orchard Brands&#8217; 10 e-commerce sites run on separate third-party or internally developed e-commerce technology. For instance, Norm Thompson, which operates NormThompson.com, Solutions.com and Sahalie.com, runs on technology currently supplied by MarketLive, while Blair.com is maintained on an IBM WebSphere platform.</p>
<p>But over the next two years Orchard Brands will begin consolidating all of its web sites to an e-commerce platform from Fry Inc. Fry will eventually host all of the sites and supply content management tools and design help, says Orchard Brands&#8217; director of e-commerce technology Maggie Carter. The company also is moving its analytics reporting to Omniture and will use applications from Yesmail and Mercado, respectively, for e-mail marketing and site search.</p>
<p>&#8220;The goal is to develop a common platform to provide rich features, functions and user experience in a cost-effective way,&#8221; says Blair CEO Shelley Nandkeolyar. &#8220;This will give us enhanced capability for all of our brands while lowering our overall cost of ownership.&#8221; The project will reduce annual technology operating costs by about 30%, he adds.</p>
<p>Orchard Brands, which generated 2007 online sales of about $235 million and total sales of more than $1.1 billion, will use a universal technology platform to standardize its business rules and processes and increase the speed to market of new catalog and e-commerce brands. &#8220;This is all about creating a good experience for our customers from beginning to end,&#8221; says Carter.</p>
<p>Golden Gate Capital also will eventually merge its Spiegel brand e-commerce sites, which include Spiegel.com and NewportNews.com, over to the new platform. &#8220;The common platform approach provides us an opportunity to leverage both our scale and knowledge base,&#8221; says Spiegel senior vice president of e-commerce Tony Chivari. &#8220;In the end, this will produce significant cost savings and provide our brands with best-in-class web sites.&#8221;</p>
